Agreement to Terms

By accessing, browsing, or using the Roots@Home platform ("Platform"), including all associated websites, applications, services, and features available at https://www.rootsathome.com, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you are using the Platform on behalf of a minor or household, you represent that you have the authority to bind that minor or household to these Terms.

Refusal of Terms

If you do not agree to any provision of these Terms, you must immediately stop using the Platform and delete your account. Continued use of the Platform after the posting of revised Terms constitutes acceptance of those revised Terms.

Supplemental Terms

Certain features of the Platform are subject to additional terms ("Supplemental Terms"), including but not limited to the Seller Terms and Buyer Protection Policy. Supplemental Terms are incorporated by reference into these Terms. In the event of a conflict between these Terms and any Supplemental Terms, the Supplemental Terms shall control with respect to the applicable feature.

Parent/Guardian Accounts

You must be at least eighteen (18) years of age to create a parent or guardian account ("Parent Account") on the Platform. By creating a Parent Account, you represent and warrant that:

  • You are at least 18 years old
  • You are a legal resident of the United States
  • You have the legal capacity to enter into a binding agreement
  • All registration information you provide is accurate, current, and complete
  • You are a parent, legal guardian, or authorized caretaker of any minors registered as learners under your account

Learner Accounts

Learner accounts ("Learner Accounts") are designed for use by children and minors under the age of 18. Learner Accounts:

  • Must be created exclusively by a parent or guardian through their Parent Account
  • Cannot be created independently by a minor
  • Are subject to the full authority and oversight of the associated Parent Account holder
  • Do not have the ability to purchase Premium subscriptions, sell on the Marketplace, or access features restricted to Parent Accounts
  • May be deleted or modified at any time by the associated parent or guardian

Parental Responsibility and Supervision

If you create a Learner Account for a minor, you:

  • Accept full responsibility for all activity occurring under that Learner Account
  • Agree to supervise your minor's use of the Platform, including the groups they join, events they attend, and content they post
  • Acknowledge that you have reviewed and configured the Learner Access controls and understand which Platform sections your learner can access
  • Agree to maintain the confidentiality of Learner Account credentials
  • Shall promptly notify us at support@rootsathome.com of any unauthorized access to or use of a Learner Account

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password
  • Not share your login credentials with any third party
  • Log out of shared or public devices after each session
  • Notify us immediately at support@rootsathome.com if you suspect unauthorized access

We reserve the right to disable any account at any time if, in our sole judgment, the account has been compromised or is being used in violation of these Terms.

Account Accuracy

You agree to keep all account information (including email address, location, and profile data) accurate and up to date. Providing false, misleading, or fraudulent information is grounds for immediate account termination.

Nature of the Platform

Roots@Home is an online platform designed to support homeschool families through the following core features:

  • Resource Library — A community-driven repository where users upload, share, rate, and download educational resources, lesson plans, worksheets, and curriculum reviews.
  • Event Calendar — A system for creating, discovering, and RSVPing to local and virtual educational events, field trips, co-op sessions, and classes.
  • Study Groups (Groups) — Community groups with real-time chat, posts, shared resources, group events, and member management.
  • Marketplace — An e-commerce platform where users buy and sell educational materials, handcrafted goods, and digital products.
  • Parent Dashboard — A management hub for parents to track learner activity, manage family profiles, and oversee learner access controls.
  • Messaging — A notification and communication center for system messages, RSVP management, and platform support.

Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform to:

  • Violate any federal, state, local, or international law or regulation
  • Exploit, harm, or attempt to exploit or harm minors in any way, including by exposing them to inappropriate content
  • Transmit any advertising or promotional material without our prior written consent, including spam, junk mail, chain letters, or any similar solicitation
  • Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • Interfere with, disrupt, or create an undue burden on the Platform, its servers, or its connected networks
  • Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, any server on which the Platform is stored, or any server, computer, or database connected to the Platform
  • Circumvent, disable, or otherwise interfere with security-related features of the Platform
  • Use the Platform to collect or harvest personally identifiable information from other users
  • Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Platform

Geographic Scope

The Platform is intended for use within the United States. We make no representations that the Platform is appropriate or available for use in other locations. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with all applicable local laws.

Definition

"User Content" means any content that you or other users upload, post, share, transmit, or otherwise make available through the Platform, including but not limited to:

  • Educational resources, files, images, and attachments
  • Event listings and descriptions
  • Marketplace listings, product images, and product descriptions
  • Group posts, comments, chat messages, and replies
  • Profile information, bios, and avatars
  • Reviews, ratings, and feedback
  • Messages sent through the Platform's messaging system

Ownership

You retain ownership of all User Content you create. By posting User Content on the Platform, you do not transfer ownership of that content to us.

License Grant to Roots@Home

By posting User Content on the Platform, you grant Roots@Home a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with:

  • Operating and providing the Platform
  • Promoting and marketing the Platform
  • Improving the Platform
  • Making your content available to other users as intended by the Platform's functionality

This license survives the termination of your account only to the extent necessary to support the continued operation of the Platform (e.g., cached copies, content already shared with or downloaded by other users, and backup copies). You may delete your User Content at any time, and upon deletion, we will use commercially reasonable efforts to remove it, except for copies that have been previously shared with or downloaded by other users, copies in backup systems, or copies required by law.

Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

  • You own all rights in your User Content, or have obtained all necessary rights, licenses, consents, and permissions to post, share, and license it as described in these Terms
  • Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, rights of privacy, rights of publicity, or any other legal right
  • Your User Content complies with these Terms and all applicable laws

Prohibited Content

You agree not to post, upload, share, or transmit any User Content that:

  • Is unlawful, fraudulent, deceptive, harmful, threatening, harassing, abusive, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable
  • Is sexually explicit, pornographic, or depicts nudity
  • Depicts or promotes violence, gore, self-harm, or cruelty
  • Is harmful to minors in any manner, including content that exploits, endangers, or inappropriately targets children
  • Promotes racism, bigotry, hatred, discrimination, or physical harm against any individual or group
  • Infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any person or entity
  • Contains software viruses, malware, corrupted files, or any other harmful technology
  • Constitutes unauthorized advertising, spam, phishing, or solicitation
  • Contains personal or identifying information of another person without their explicit consent
  • Is intentionally false or misleading
  • Promotes illegal activities or substances
  • Violates the privacy of any third party
  • Contains copyrighted material used without proper authorization

Content Moderation

We employ both automated and manual content moderation systems, including but not limited to:

  • Text validation — Automated screening of user-generated text for inappropriate, harmful, or prohibited content
  • Image moderation — Automated scanning of uploaded images for inappropriate, explicit, or harmful visual content
  • User reporting — A one-click reporting system enabling any user to flag posts, listings, messages, or accounts for review
  • Manual review — Reported content is reviewed by our team and tracked to resolution

Notwithstanding our content moderation efforts, we do not guarantee that all prohibited content will be detected or removed. You acknowledge that you may encounter User Content that is inaccurate, offensive, or otherwise objectionable, and you agree that your sole remedy is to stop using the Platform.

Right to Remove Content

We reserve the right, but do not assume the obligation, to:

  • Monitor, edit, or remove any User Content at our sole discretion, with or without notice
  • Refuse to post or transmit any User Content
  • Take any action with respect to User Content that we deem necessary or appropriate, including in response to reports of violations

DMCA and Copyright Claims

If you believe that your copyrighted work has been used on the Platform in a manner that constitutes copyright infringement, please submit a written notice to our designated copyright agent at support@rootsathome.com containing:

  • A physical or electronic signature of the copyright owner or authorized representative
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing, with sufficient detail to locate it on the Platform
  • Your contact information (address, telephone number, email address)
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA takedown notices in accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512.

Uploaded Resources

When you upload a resource to the Resource Library, you represent and warrant that:

  • You are the creator of the resource or have obtained all necessary rights and permissions to share it
  • The resource does not infringe on any third party's intellectual property rights
  • The resource is educational in nature and appropriate for the homeschool community
  • Any files attached to the resource are free from viruses, malware, and harmful code

No Guarantee of Quality

Resources are uploaded by community members and are not reviewed, verified, or endorsed by Roots@Home. We do not guarantee the accuracy, completeness, quality, educational value, or appropriateness of any resource. You use resources at your own risk.

Ratings and Reviews

The star rating and comment system is provided to help the community identify quality content. You agree to leave honest, constructive, and good-faith ratings and reviews. Fraudulent, retaliatory, or manipulated ratings are prohibited and may result in account suspension.

User-Organized Events

Events listed on the Platform are organized and managed by individual users, not by Roots@Home. We do not verify, endorse, or assume responsibility for:

  • The safety, legality, or quality of any event
  • The identity, background, or qualifications of event organizers
  • The accuracy of event descriptions, locations, or schedules
  • Any interactions or incidents that occur at events

Assumption of Risk

By RSVPing to or attending any event listed on the Platform — whether in-person or virtual — you:

  • Do so entirely at your own risk
  • Acknowledge that Roots@Home is not an organizer, sponsor, or participant in the event
  • Release Roots@Home from any and all claims, damages, losses, or liabilities arising from your participation in any event
  • Assume full responsibility for the safety and supervision of any minors you register for an event via the Family RSVP feature

Event Organizer Responsibilities

If you create an event, you agree to:

  • Provide accurate and current event information
  • Manage RSVPs, capacity, and communications in a timely and professional manner
  • Comply with all applicable laws, regulations, and venue requirements
  • Ensure appropriate supervision and safety measures for events involving minors
  • Not create events for deceptive, harmful, or illegal purposes

Group Creation and Management

When you create a group, you become the group owner and assume responsibility for:

  • All content posted within the group (posts, comments, chat messages, resources, and events)
  • Managing group membership, including promoting, demoting, removing, and banning members
  • Maintaining a safe, respectful, and on-topic environment
  • Configuring group privacy settings (public or private)
  • Complying with all applicable laws and these Terms

Group Member Conduct

All group members agree to:

  • Follow the group's guidelines and the group owner's directives
  • Treat other members with respect
  • Not use group features (chat, posts, events, resources) for spam, harassment, or prohibited content
  • Report any violations to the group owner and/or to Roots@Home via the reporting system

No Endorsement

Roots@Home does not endorse, verify, or assume responsibility for any group, its content, its members, or its activities. Groups are user-created and user-managed.

Group Termination

We reserve the right to remove, suspend, or delete any group at any time, with or without notice, if we determine in our sole discretion that the group violates these Terms, promotes harmful content, or poses a risk to the community.

Platform Role

Roots@Home provides the Marketplace as a platform for users to buy and sell educational materials, handcrafted goods, and digital products. Roots@Home is not a party to any transaction between buyers and sellers. We do not:

  • Manufacture, store, inspect, or ship any products
  • Guarantee the quality, safety, legality, or accuracy of any listing
  • Guarantee that any transaction will be completed
  • Provide insurance, warranty, or guarantee for any product or service

Seller Obligations

By listing products or services on the Marketplace, you agree to:

  • Hold a valid Premium subscription if required for seller features
  • Provide accurate, complete, and non-misleading product descriptions, images, pricing, and shipping information
  • Set fair and transparent pricing
  • Fulfill orders promptly and professionally
  • Ship products within the timeframe indicated in the listing
  • Respond to buyer inquiries and resolve disputes in good faith
  • Comply with all applicable federal, state, and local laws, including consumer protection, product safety, tax collection, and export control laws
  • Accept returns in accordance with the return policy stated on your listing and the Platform's Buyer Protection Policy
  • Not list any product or service that is prohibited under Section 8.4

Sellers are independent parties and are not employees, agents, contractors, or representatives of Roots@Home. You are solely responsible for determining and remitting any applicable taxes, including sales tax, income tax, and any other taxes or fees arising from your sales.

Buyer Obligations

By purchasing products through the Marketplace, you agree to:

  • Provide accurate payment and shipping information
  • Pay the listed price, applicable taxes, and shipping costs
  • Review product descriptions, images, and seller information before purchasing
  • Leave honest and fair reviews and ratings
  • Communicate with sellers in a respectful and professional manner
  • Exercise reasonable diligence when transacting with sellers

Prohibited Listings

The following items and services may not be listed on the Marketplace:

  • Illegal, stolen, or counterfeit items
  • Weapons, ammunition, or explosives
  • Controlled substances, drugs, or drug paraphernalia
  • Tobacco, alcohol, or age-restricted products
  • Hazardous materials
  • Sexually explicit, obscene, or pornographic materials
  • Items that promote hatred, violence, or discrimination
  • Live animals
  • Personal information or data about third parties
  • Multi-level marketing (MLM) products or schemes
  • Items that infringe on any third party's intellectual property rights
  • Any product or service prohibited by applicable law

Payments and Fees

  • All Marketplace payments are processed by Stripe, our third-party payment processor. By making or receiving payments through the Marketplace, you agree to Stripe's Terms of Service and Privacy Policy.
  • Roots@Home may charge transaction fees, service fees, or subscription fees as described on the Platform. All fees are subject to change with notice.
  • You acknowledge that Roots@Home does not store credit card numbers. All payment data is handled exclusively by Stripe in compliance with PCI-DSS standards.

Shipping and Fulfillment

  • Marketplace shipping is facilitated through Shippo, our third-party shipping integration. Sellers are responsible for packaging, shipping, and delivering products.
  • Address validation, shipping rate quotes, and tracking are provided as convenience features. Roots@Home does not guarantee the accuracy of address validation, estimated delivery dates, or tracking updates.
  • Sellers are responsible for purchasing shipping labels, meeting carrier deadlines, and resolving shipping disputes.

Returns, Refunds, and Disputes

  • Returns and refunds are governed by the individual seller's return policy and the Platform's Buyer Protection Policy.
  • Roots@Home may provide dispute resolution assistance but is not obligated to mediate or resolve disputes between buyers and sellers.
  • Chargebacks initiated through your bank or credit card company bypass our dispute resolution process and may result in the suspension or termination of your account.

Digital Products

  • Digital products (e.g., downloadable worksheets, e-books, templates) are delivered via secure download links generated by the Platform.
  • Due to the nature of digital goods, refunds for digital products may be limited. Review the seller's return policy before purchasing.
  • You may not redistribute, resell, or share digital products you purchase unless the seller has explicitly granted such rights.

Plans and Pricing

Roots@Home offers optional Premium subscription plans ("Premium") at the following tiers:

  • Monthly: $5.00 per month
  • Annual: $50.00 per year (equivalent to approximately $4.17/month)

Pricing is subject to change with thirty (30) days' prior notice. Changes will not affect the current billing cycle.

Premium Features

Premium unlocks access to advanced features, including but not limited to:

  • Creating and managing study groups
  • Selling on the Marketplace via the Seller Dashboard
  • Advanced family management and analytics via the Dashboard
  • Additional features as may be introduced from time to time

The specific features included with Premium may change. We will provide reasonable notice of any material changes to Premium features.

Billing and Renewal

  • Premium subscriptions are billed in advance on a recurring basis (monthly or annually) via Stripe.
  • Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
  • You are responsible for ensuring your payment information is current. Failed payments may result in suspension of Premium features.

Cancellation

  • You may cancel your Premium subscription at any time through your account settings or by contacting support@rootsathome.com.
  • Cancellation takes effect at the end of the current billing period. You will continue to have access to Premium features until the end of the paid period.
  • No prorated refunds will be issued for partially used billing periods.

Free Tier

The core Platform features — including the Resource Library, Event Calendar, Group browsing and membership, Marketplace browsing and purchasing, Profile management, and Messaging — are available free of charge and will remain free. We do not require a credit card to create an account.

Learner Accounts and Premium

Learner Accounts cannot subscribe to Premium. Premium subscriptions are available to Parent Account holders only. Premium benefits may extend to the associated Parent Account's learners as applicable.

Platform IP

The Platform, including its design, layout, architecture, features, functionality, source code, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the selection and arrangement of all content ("Platform IP"), is the exclusive property of Roots@Home and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Trademarks

"Roots@Home," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Roots@Home. You may not use these marks without our prior written permission.

User Content IP

Educational resources, lesson plans, creative works, and other original content uploaded by users remain the intellectual property of their respective creators, subject to the license granted in Section 4.3. Roots@Home does not claim ownership of User Content.

Feedback

If you provide us with any ideas, suggestions, feedback, or recommendations regarding the Platform ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we may use, reproduce, modify, distribute, and commercialize such Feedback without restriction, attribution, or compensation to you.

Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Children's Privacy (COPPA Compliance)

We are committed to complying with the Children's Online Privacy Protection Act ("COPPA"). We do not knowingly collect personal information from children under the age of 13 without verifiable parental consent. Learner Accounts are created and managed by parents, and parents provide all necessary information. Parents may review, modify, or delete their child's information at any time through the Parent Account. If you believe we have inadvertently collected personal information from a child under 13 without proper consent, please contact us immediately at support@rootsathome.com and we will promptly delete such information.

Data You Provide

When using the Platform, you may provide various types of data including registration information (name, email, password), profile information (bio, interests, avatar, location), content data (resources, posts, reviews), and transaction data (payment and shipping information). You are responsible for the accuracy and legality of all data you provide.

Firebase and Third-Party Services

The Platform uses Firebase (a Google service) for authentication, database storage, file storage, and hosting. Your use of the Platform is also subject to Google's Terms of Service and Google's Privacy Policy as applicable to Firebase services.

Integrated Third-Party Services

The Platform integrates with the following third-party services:

  • Firebase (Google) — Authentication, database, file storage, and hosting
  • Stripe — Payment processing for the Marketplace and Premium subscriptions
  • Shippo — Shipping rate quotes, label purchasing, and tracking for the Marketplace
  • Postmark — Transactional email delivery (welcome emails, order notifications, support communications)

Third-Party Terms

Your use of integrated third-party services is subject to the respective service provider's terms of service and privacy policies. Roots@Home is not responsible for the practices, availability, or security of any third-party service.

Third-Party Links

The Platform may contain links to third-party websites or resources (e.g., HSLDA state law resources, external educational sites). These links are provided for convenience only. We do not endorse, control, or assume responsibility for any third-party content, products, services, or privacy practices.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ROOTS@HOME DOES NOT WARRANT THAT:

  • THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE, RELIABLE, OR COMPLETE
  • ANY DEFECTS OR ERRORS IN THE PLATFORM WILL BE CORRECTED
  • THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • ANY USER CONTENT OR INFORMATION OBTAINED THROUGH THE PLATFORM IS ACCURATE, RELIABLE, OR TRUSTWORTHY
  • ANY EDUCATIONAL RESOURCES, LESSON PLANS, OR CURRICULUM MATERIALS SHARED ON THE PLATFORM ARE EDUCATIONALLY SOUND, COMPLETE, OR APPROPRIATE FOR YOUR SPECIFIC NEEDS
  • ANY EVENTS LISTED ON THE PLATFORM ARE SAFE, LEGITIMATE, OR WELL-ORGANIZED
  • ANY PRODUCTS SOLD THROUGH THE MARKETPLACE ARE AS DESCRIBED, SAFE, OR OF MERCHANTABLE QUALITY

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROOTS@HOME, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY
  • PERSONAL INJURY OR PROPERTY DAMAGE
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ROOTS@HOME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOTS@HOME'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO ROOTS@HOME IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

Essential Purpose

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY EVEN IF THE LIMITED REMEDIES PROVIDED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, ROOTS@HOME'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Roots@Home, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property, privacy, publicity, or other proprietary rights
  • Your transactions on the Marketplace (whether as buyer or seller)
  • Your participation in or organization of events listed on the Platform
  • Your creation, management, or participation in study groups
  • Any claim that your User Content caused damage to a third party
  • Any activity occurring under your account or any associated Learner Accounts

This indemnification obligation shall survive the termination of your account and these Terms.

Informal Resolution

Before filing any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@rootsathome.com. We will attempt to resolve the dispute within thirty (30) days. If the dispute is not resolved within that period, either party may proceed with the options below.

Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or your use of the Platform that is not resolved through informal resolution shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Section 16.

  • The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA Rules
  • The arbitration shall take place in the State of Texas or, at your election, via video conference or telephone
  • The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction
  • The arbitrator may award any relief that a court could award, including injunctive or declaratory relief, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim
  • Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines that a claim was frivolous, in which case the prevailing party may recover reasonable attorneys' fees

Class Action Waiver

YOU AND ROOTS@HOME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions to Arbitration

Notwithstanding the binding arbitration provision, either party may:

  • Seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights
  • Bring an individual action in small claims court for claims within the court's jurisdictional limits

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Venue

For any disputes not subject to arbitration, the exclusive venue shall be the federal and state courts located in the State of Texas. You consent to the personal jurisdiction of such courts.

Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings; or
  • Contacting us at support@rootsathome.com with a termination request.

Upon termination, your right to use the Platform ceases immediately. If you have a Premium subscription, cancellation takes effect at the end of the current billing period (no prorated refunds).

Termination by Us

We may suspend, restrict, or terminate your account and access to the Platform at any time, with or without cause, with or without notice, and without liability to you. Reasons for termination may include, but are not limited to:

  • Violation of these Terms or any Supplemental Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Discontinuance or material modification of the Platform
  • Technical or security issues or problems
  • Failure to pay fees owed under these Terms
  • Conduct that we determine, in our sole discretion, is harmful to other users, the community, or the Company

Effect of Termination

Upon termination:

  • Your license to use the Platform terminates immediately
  • We may retain or delete your User Content in accordance with our data retention policies and applicable law
  • Outstanding Marketplace orders must still be fulfilled per the Seller Terms
  • Sections that by their nature should survive termination shall survive, including Sections 4.3 (License Grant), 10 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution), and 17.3 (Effect of Termination)
  • You remain liable for any obligations incurred prior to termination

Entire Agreement

These Terms, together with the Privacy Policy and any applicable Supplemental Terms, constitute the entire agreement between you and Roots@Home regarding your use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver

The failure of Roots@Home to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver of any right or provision must be in writing and signed by an authorized representative of Roots@Home.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms at any time without notice or consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

Force Majeure

Roots@Home shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemics, epidemics, government actions, labor disputes, Internet disturbances, power outages, or third-party service provider failures.

Notices

We may provide notices to you through the Platform, via email to the address associated with your account, or by other reasonable means. Notices sent via email are deemed received on the date sent. It is your responsibility to keep your email address current.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any person or entity that is not a party to these Terms.

Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, agency, or franchise relationship between you and Roots@Home. You are an independent user of the Platform.

Changes to the Platform

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.

Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on this page with a revised "Effective Date" and "Last Updated" date
  • Sending a notification through the Platform's messaging or notification system
  • Sending an email notification to the address associated with your account (for material changes)

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Platform and terminate your account.
